Terms of Use

Please read these Terms of Use ("Terms") carefully before using the Coinage mobile application ("App") operated by Coinage Marketplace LLC ("Coinage," "we," "us," or "our"). Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms.

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the App.

Use of the App

a. Eligibility: You must be at least 18 years old and legally capable of entering into a binding agreement to use the App. By using the App, you represent and warrant that you meet these requirements.

b. License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for its intended purposes. You may not sublicense, distribute, resell, copy, or commercially exploit the App except as expressly permitted by us.

c. User Accounts: You may be required to create an account to access certain features of the App. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur through your account.

Marketplace Transactions

a. Coinage provides a marketplace that allows users to discover, list, buy, and sell physical goods and communicate with other users.

b. Unless expressly stated otherwise, Coinage is not the buyer or seller of items listed through the App. Transactions are entered into directly between buyers and sellers.

c. Sellers are responsible for accurately describing the condition, authenticity, ownership, and characteristics of items they list.

d. Buyers are responsible for inspecting items and determining whether they wish to complete a transaction.

e. Coinage does not guarantee the existence, condition, quality, safety, legality, or authenticity of any item, the accuracy of a listing, the identity or reliability of a user, or that any transaction will be successfully completed.

Bitcoin Transactions

a. Coinage may allow or facilitate transactions involving Bitcoin.

b. Bitcoin transactions may be irreversible, subject to network fees, delayed because of network conditions, or fail for reasons outside Coinage's control.

c. The value of Bitcoin may fluctuate significantly. You are responsible for understanding the risks associated with using Bitcoin before completing a transaction.

d. You are responsible for verifying wallet addresses, payment information, transaction amounts, and other payment details before authorizing a transaction.

e. Coinage does not provide investment, financial, tax, or legal advice. Nothing available through the App should be interpreted as a recommendation to purchase, sell, hold, or invest in Bitcoin or any other asset.

In-Person Transactions

a. Coinage may allow users to arrange in-person exchanges of items.

b. Users are responsible for deciding when, where, and with whom they meet.

c. Coinage does not supervise in-person meetings and cannot guarantee the conduct, identity, or safety of users.

d. To the fullest extent permitted by law, Coinage is not responsible for injury, theft, property damage, disputes, losses, or other harm resulting from interactions or meetings between users.

User Content

a. You may submit listings, photographs, descriptions, messages, profile information, and other materials ("User Content") through the App.

b. You retain ownership of your User Content.

c. By submitting User Content, you grant Coinage a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute the content as reasonably necessary to operate, improve, and promote the App.

d. You represent that you have the necessary rights to submit your User Content and that it does not violate applicable law or the rights of another person.

Prohibited Activities

You agree not to:

a. Use the App for any illegal, fraudulent, or unauthorized purpose;

b. List, buy, sell, or facilitate transactions involving illegal, stolen, counterfeit, fraudulent, or otherwise prohibited goods;

c. Defraud or attempt to defraud another user;

d. Misrepresent an item, listing, transaction, or your identity;

e. Harass, threaten, intimidate, or abuse another person;

f. Use the App for money laundering, sanctions evasion, fraud, or other unlawful financial activity;

g. Interfere with or disrupt the operation of the App, servers, or networks connected to the App;

h. Attempt to gain unauthorized access to another account or Coinage's systems;

i. Introduce malware, malicious code, or harmful technology;

j. Use robots, spiders, scrapers, or other automated systems to collect information from the App without authorization;

k. Reverse engineer, decompile, or disassemble any portion of the App;

l. Circumvent security, moderation, transaction, or account restrictions.

Intellectual Property

a. The Coinage name, App, website, logos, designs, software, graphics, interfaces, and other content created by Coinage are owned by Coinage Marketplace LLC or its licensors and are protected by applicable intellectual property laws.

b. You may not copy, modify, distribute, sell, lease, license, reverse engineer, or commercially exploit Coinage's intellectual property without our prior written consent.

Third-Party Services

a. The App may use or provide access to third-party services, including Bitcoin wallets, payment infrastructure, hosting providers, mapping services, or other technology providers.

b. Your use of third-party services may be governed by separate terms established by those third parties.

c. Coinage does not control and is not responsible for the availability, security, accuracy, or operation of third-party services except to the extent required by law.

Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

Coinage does not warrant that the App will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected.

Coinage does not guarantee transactions between users, user listings, Bitcoin payments, in-person exchanges, or the conduct of other users.

Limitation of Liability

To the fullest extent permitted by applicable law, Coinage Marketplace LLC and its owners, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages resulting from or related to your access to or use of the App, transactions between users, user listings or communications, in-person interactions, loss, theft, or damage involving an item, Bitcoin price changes, failed, delayed, or incorrectly directed Bitcoin transactions, unauthorized account access, or third-party services.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

Indemnification

You agree, to the extent permitted by law, to indemnify and hold harmless Coinage Marketplace LLC and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from your use of the App, your listings or transactions, your User Content, your violation of these Terms, your violation of applicable law, or your violation of another person's rights.

Account Suspension and Termination

We may suspend, restrict, or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent, abusive, or illegal activity, created a security or legal risk, or if suspension is necessary to protect Coinage or another user.

You may stop using Coinage at any time.

Changes to Terms

We reserve the right to modify or replace these Terms from time to time.

When material changes are made, we may provide notice through the App, our website, or another appropriate method.

The updated Terms will include a revised effective date. Your continued use of the App after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law principles.

Any dispute arising from these Terms or the App will be subject to the applicable state or federal courts located in Arizona, except where applicable law requires otherwise.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
